Why Usage Rights on Invoices Matter
A correctly formulated invoice with separately listed usage rights is not just good business practice — it is an important legal document. In disputes, the invoice often determines what scope of usage rights was actually granted. Failing to list usage rights properly risks the client claiming broader rights than agreed, or a court interpreting the scope to your disadvantage.
German copyright law contains the purpose-of-transfer doctrine (Section 31, Paragraph 5 UrhG): where usage rights are not expressly specified individually, their scope is determined by the purpose of the contract. This means if you simply write 'logo design' without specifying usage rights, the client can argue they acquired whatever rights are necessary for their purpose — which may be far broader than you intended.
Mandatory Invoice Details
Beyond the standard invoice requirements under the VAT Act (name, address, tax number, invoice number, service date, etc.), you should include: a clear description of the design fee (hours, hourly rate, total) and the licensing fee as a separate line item.
The usage rights line item should specify: type of usage right (simple or exclusive), territory (local, regional, national, Europe-wide, worldwide), duration (fixed with concrete dates or unlimited), usage type (purpose-restricted with purpose definition, or unrestricted), whether editing rights are granted, and permitted media and distribution channels.

Example 1: Restricted Usage Rights
Item 1: Design fee for logo development (40 hours at 90 euros): 3,600.00 euros net. Item 2: Licensing fee — Grant of a simple usage right for the logo design per the following specification: Territory: Federal Republic of Germany. Duration: 1 year. Usage type: Purpose-restricted to print and online media. Editing rights: Not granted. Extension of duration or expansion of scope requires separate agreement. Licensing fee: 2,700.00 euros net.
Example 2: Comprehensive Usage Rights (Buyout)
Item 1: Design fee for corporate design development (80 hours at 100 euros): 8,000.00 euros net. Item 2: Licensing fee — Grant of an exclusive usage right: Territory: Worldwide. Duration: Unlimited. Usage type: Unrestricted (free use across all media). Editing rights: Granted. This constitutes a complete rights buyout. Licensing fee: 36,000.00 euros net.
Contractual Protection
The invoice alone is not always sufficient. Ideally, define usage rights in the proposal or contract. Include a clause governing what happens when the client wants to expand rights, and a note that usage types not covered are subject to separate compensation.
